摘要: 中国国有企业治理已进入“多元化治理”阶段,“多元化”不仅表现为混合所有制背景下国有企业形态的多样性,利益相关者和治理主体参与决策及监督的广泛性,也体现在近年“分类监管”思路下的国资监管模式差异性和授权放权改革下国企微观激励机制上的灵活性,以及党的领导和党组织嵌入形成国企治理模式上的复合性。未来的改革,应继续坚持党的领导和现代企业制度相结合,兼顾规范和效率,兼顾业绩与责任,重点推进专业董事会建设、多元参与和差异治理创新、信息披露和透明度提高,从而实现国有企业的“良治”。

Abstract: The governance of China's state-owned enterprises has entered the stage of“diversified governance”.“Diversification”is not only reflected in the diversity of state-owned enterprises under the background of mixed ownership,but also in the wide participation of stakeholders and governance subjects in decision-making and supervision,as well as the integration of the Party's leadership and organization into the governance model of state-owned enterprises.In the future reform,we should continue to adhere to the combination of the Party's leadership and the modern enterprise system,give consideration to both norms and efficiency,performance and responsibility,and focus on promoting the construction of professional boards of directors,diversified participation and differential governance innovation,information disclosure and transparency improvement,so as to achieve“good governance”of state-owned enterprises.
